Governing terms for all client engagements across every EIDDI Solutions LLC service vertical.
EIDDI Solutions LLC (the "Company") is the sole contracting and billing entity for all service verticals operating under the EIDDI brand. These Terms of Service apply to all clients engaging EIDDI Solutions LLC for services across any vertical, including:
Each vertical may maintain supplemental service-specific terms. In the event of a conflict, the supplemental vertical terms govern for that specific service engagement. These General Terms apply to all matters not addressed by vertical-specific terms.
Clients agree to pay EIDDI Solutions LLC the fees agreed upon during onboarding or as specified in the applicable service agreement. All fees are quoted and invoiced in United States Dollars (USD) and processed through secure, authorized payment channels.
| Dispatch Services | Weekly invoicing; percentage of gross load revenue or negotiated flat rate. Payable upon receipt. |

| Late Payment | EIDDI Solutions LLC reserves the right to suspend services on accounts with overdue balances exceeding 14 calendar days past the due date. |

By engaging EIDDI Solutions LLC, all clients agree to:
Prohibited: Violation of these obligations will result in immediate service termination and may result in legal action to recover losses incurred by EIDDI Solutions LLC.
Client cancellation terms, notice periods, and the effect of cancellation on outstanding balances are governed by the Refund & Cancellation Policy, which is incorporated into this Agreement by reference.
EIDDI Solutions LLC's total liability to any client, under any claim arising from these Terms or any service agreement, shall not exceed the total fees paid in the 30-day period immediately preceding the claim. EIDDI Solutions LLC is not liable for indirect, incidental, consequential, or punitive damages, including loss of business, loss of data, or third-party failures.
All content, branding, website materials, documentation, and proprietary processes developed by EIDDI Solutions LLC remain its exclusive intellectual property unless explicitly transferred in writing.
For custom software, platforms, or digital deliverables developed under an IT engagement: full IP ownership is transferred to the client upon receipt of final payment, as specified in the applicable project agreement.
Disputes shall follow good-faith direct resolution before formal proceedings. Unresolved disputes are subject to the exclusive jurisdiction of St. Petersburg, Florida under the laws of the State of Florida, USA.
